    Compensation:  This position is at the executive level and will report
    directly to the Chief Executive Officer.  Compensation will consist of
    salary, bonus, and have an equity component in the form of Stock
    Options.

    Position Description:
    Our Client is searching for a  Senior Vice President of Strategic
    Development that will be responsible for assisting the Chief Executive
    Officer in the development of a product and business strategy that will
    lead then into the next phase of their business development cycle.  The
    Vice President of Strategic Development will also be expected to assist
    the Company in executing the business and product development “road map”
    through a focus on negotiating technical and business relationships with
    strategic partners. It is essential that a successful candidate   have
    in depth experience and industry knowledge of the  Network Management
    and Network Security markets.
    
    Key Responsibilities:
    
    · Conduct market research and market analysis by talking with company
    insiders, key outside vendors, customers, and industry analysts.
    · Develop and create a broad map of the opportunities to expand the
    Company’s position within the markets, identifying technology and
    industry trends, assess opportunities and potential competitive threats.
    
    · Based on the analysis and discussions, assist in the development of a
    strategy of product development, merger/acquisition, or strategic
    partnering that will provide  the opportunity to build a leading
    position and increase market valuation rapidly.
    · Assist in the product planning, communication of the strategy, and
    acquisition of strategic partners to execute the strategy rapidly.
    
    Experience, qualifications and other characteristics:
    
    · Domain expertise in network security and network management market
    technologies
    · Broad network of high level contacts within the technology sectors and
    enterprise customers of these products.
    · Experience in early or growth stage companies, including being part of
    a management team that built the organization through accelerated growth
    to an IPO.
    · Experience in driving corporate strategy initiatives in network
    security solutions and/or network management company.
    · Experience and understanding of current and future technology needs of
    enterprise customers for network security and network management
    solutions.
    · Possess an appreciation of the demands and challenges involved in
    growing a promising early stage company.
    
    The ideal candidate will have demonstrated successes in the following:
    
    · Proven track record of achievement in implementing strategic
    alliances, and business development through mergers and acquisitions.
    · Proven track record of achievement in product development, in which
    the candidate had the responsibility to lead the development of complex
    products and delivered them on time and at sufficient quality to meet
    market demands and increase company revenues rapidly.
    · Proven track record of achievement in a strategic product management
    role, in which the candidate had the responsibility to define a product
    road map and work with various functional and operational groups to
    deliver a market-leading product rapidly, with further product component
    roll out over time.
    
    Background:
    
    · At least 15 years experience in Information Technology, including
    three years of executive level positions with a focus on security
    solutions and/or network management solutions.
    · University degree or degrees in technical fields that would be
    relevant to assist in the development of our technical marketing
    strategy.
    ·  MBA or equivalent experience and training in the business strategy
    analysis and development.
    · Strong network of C level contacts (Network Managers, CIO, CSIO) in
    customers within banking/financial, technology, telecommunications and
    other Fortune 500 companies and high-level government contacts.
    · Strong network of C level contacts (CEO, VP Marketing and Business
    Development) in vendors and suppliers of Network Management and Security
    solutions.
